1. Who we are

AgentDesk (“AgentDesk”, “we”, “our”, or “us”) is operated by Saad Riaz, a sole proprietor trading as Algovon, with a place of business at Office L2, Software Technology Park, Muzaffarabad, Azad Kashmir, Pakistan. You can reach us at info@algovon.com.

2. Agreement to these Terms

These Terms & Conditions (the “Terms”) form a binding agreement between you (“you” or the “Customer”) and AgentDesk. By creating an account, accessing, or using the AgentDesk service available at agentdesk.algovon.com (the “Service”), you agree to be bound by these Terms and our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.

3. The Service

AgentDesk is a customer-support platform for ecommerce stores. It provides a shared inbox for human support agents, integrations with ecommerce platforms (including Shopify and WooCommerce), and, on paid plans, AI-generated reply drafts and automated risk scoring.

4. Accounts and authorised users

  • You must provide accurate information when creating your account and keep it current.
  • You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
  • You must promptly notify us at info@algovon.com of any unauthorised use of your account.
  • The Service is intended for users aged 18 or older or the age of majority in your jurisdiction, whichever is higher.

5. Plans, fees and billing

The Service is offered on a freemium basis. The Free plan permits unlimited human-agent chat at no charge. The Pro plan is offered at the price displayed on our Pricing page (currently US$20 per month, billed monthly in advance).

Payments for paid plans are processed by our payment provider, Paddle.com Market Limited (“Paddle”), who acts as the merchant of record for the transaction. Paddle’s own terms apply to the payment transaction in addition to these Terms. We may change Pro-plan pricing on 30 days’ written notice; price changes will not apply to a billing period you have already paid for.

6. Cancellation and refunds

You may cancel your Pro subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period; your account reverts to the Free plan at that point and we will not bill you again. Refunds are governed by our Refund Policy, which offers a 14-day no-questions-asked refund on new Pro subscriptions.

7. Acceptable use

You agree not to, and not to permit any user of your account to:

  • Use the Service to send unsolicited bulk messages, spam, or content that is unlawful, defamatory, harassing, infringing, fraudulent, or otherwise harmful;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits;
  • Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures;
  • Use the Service to compete with us by building a substantially similar product;
  • Use the Service in violation of applicable law, including export-control and sanctions laws.

We may suspend or terminate accounts that violate this section, with or without notice, depending on the severity of the violation.

8. Your content and data

You retain ownership of the data you and your end customers submit to the Service (“Customer Data”), including support conversations, order records imported from your store, knowledge-base content, and configuration. You grant AgentDesk a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, and display Customer Data solely to provide and improve the Service. We process personal data within Customer Data as described in our Privacy Policy.

9. AI-generated content

On the Pro plan, the Service uses third-party large language model providers (currently OpenAI) to generate suggested replies and risk scores. AI outputs may be inaccurate, incomplete, or inappropriate for a given situation. You are responsible for reviewing AI outputs before they are sent to your customers or relied on for business decisions. We disclaim all liability for the consequences of acting on AI-generated content without review, to the maximum extent permitted by law.

10. Third-party services

The Service integrates with third-party platforms (including Shopify, WooCommerce, Paddle, and OpenAI). Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for the availability, content, or practices of any third-party service.

11. Intellectual property

The Service, including all software, design, documentation, and branding, is and remains the exclusive property of AgentDesk. Except for the limited right to use the Service as described in these Terms, no licence or other right is granted to you.

12. Warranties and disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we disclaim all warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will be accurate.

13. Limitation of liability

To the maximum extent permitted by applicable law, in no event will AgentDesk’s aggregate liability arising out of or relating to these Terms or your use of the Service exceed the greater of (a) the fees you paid to AgentDesk in the twelve (12) months preceding the event giving rise to liability, or (b) US$50. In no event will AgentDesk be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

14. Indemnity

You agree to defend, indemnify, and hold harmless AgentDesk against any claim, loss, damage, or expense (including reasonable legal fees) arising out of (a) Customer Data, (b) your use of the Service in breach of these Terms, or (c) your violation of applicable law.

15. Term and termination

These Terms remain in effect for as long as you have an account with us. You may terminate by deleting your account or contacting info@algovon.com. We may suspend or terminate your access for any material breach of these Terms; for non-payment that remains uncured for 15 days; or on 30 days’ notice for any reason. On termination, your right to use the Service ends; provisions that by their nature should survive (including sections 8, 11, 12, 13, 14, and 16) will survive.

16. Governing law and disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws rules. The courts of Muzaffarabad, Azad Kashmir, will have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you by email or by posting a notice in the Service before the change takes effect. Continued use of the Service after the change indicates acceptance of the revised Terms.

18. Miscellaneous

These Terms are the entire agreement between you and AgentDesk regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
